1. Agreement to Terms

By accessing or using Agent Ready ("Service"), a product of Lantern Technologies, Inc. ("Lantern," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and merchants who connect their e-commerce stores.

2. Description of Service

Agent Ready is an AI commerce readiness analysis platform that:

• Analyzes e-commerce websites and product catalogs for AI agent visibility
• Provides an "AI Commerce Readiness Score" measuring how well AI shopping agents can discover, understand, and recommend products
• Evaluates schema markup, meta tags, product data quality, and protocol compatibility (including UCP - Universal Commerce Protocol)
• Generates actionable recommendations to improve AI visibility
• Tracks AI-attributed sales and traffic when connected to merchant stores

3. Account Registration

Certain features of the Service require account registration. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Free Tier Services

Agent Ready offers free access to the following features:

• AI Commerce Readiness Score analysis
• Detailed category breakdown of readiness factors
• Per-product analysis and issue detection
• Prioritized recommendations for improvement
• Code examples and implementation guidance
• Shareable report links
• PDF export functionality
• Unlimited website analyses

Free tier services are provided "as is" and may be modified, suspended, or discontinued at any time without notice.

5. Transaction Fee Services

For merchants who enable AI-attributed sales tracking, we charge a transaction fee of 8% on sales attributed to AI shopping agents. By enabling this feature, you agree to the following:

5.1 Attribution Methodology

We use multiple attribution signals to identify AI-attributed sales, including but not limited to:

• Direct referrers from AI platforms (ChatGPT, Perplexity, Gemini, Claude, and others)
• UTM parameters associated with AI agent traffic
• Landing page tracking from our agent APIs
• Checkout tokens and session tracking

We employ conservative attribution methodology. If attribution cannot be clearly established, no fee is charged.

5.2 Billing and Payment

Fees are invoiced monthly based on AI-attributed sales from the previous calendar month. Payment is due within 30 days of invoice date. We accept major credit cards and ACH transfers for payment.

There are no setup fees, monthly minimums, or subscription costs. You only pay transaction fees when AI agents drive actual sales to your store.

5.3 Disputes

If you believe a sale was incorrectly attributed to AI agents, you may dispute the charge within 30 days of the invoice date by contacting support@lantern.is with supporting documentation. We will review disputes in good faith and make adjustments as appropriate.

6. Enterprise Pricing

For high-volume merchants (typically $1M+ in monthly revenue), we offer custom enterprise pricing with volume discounts. Enterprise agreements may include additional terms that supersede these standard Terms where specified.

7. Data Collection and Use

7.1 Website Analysis

When you analyze a website, we access publicly available information including HTML content, schema markup, meta tags, and product data. We do not access password-protected areas unless explicitly authorized.

7.2 Connected Stores

When you connect your e-commerce store for sales tracking, we access:

• Order and transaction data necessary for attribution
• Product catalog information
• Traffic and analytics data

We use this data solely to provide the Service and calculate fees. We do not sell your data to third parties. See our Privacy Policy for complete details on data handling.

7.3 Aggregate Data

We may use anonymized, aggregate data from all users to improve our Service, develop benchmarks, and create industry reports. Such aggregate data will not identify you or your business.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its original content, features, functionality, scoring algorithms, and technology, is owned by Lantern and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8.2 Your Content

You retain ownership of your website content, product data, and business information. By using the Service, you grant us a limited license to access and analyze this content solely to provide the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.

9. User Responsibilities

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers/networks connected to it
• Submit false, misleading, or inaccurate information
• Use automated systems to access the Service in a manner that exceeds reasonable use
• Resell, redistribute, or white-label the Service without written permission
• Manipulate or attempt to manipulate AI attribution to avoid fees
• Analyze websites or stores you do not own or have authorization to analyze

10. Third-Party Services and AI Platforms

The Service integrates with and references various third-party AI platforms and e-commerce systems. We are not responsible for the actions, policies, or availability of these third parties, including:

• AI shopping agents (ChatGPT, Google Gemini, Anthropic Claude, Perplexity, and others)
• E-commerce platforms (Shopify, WooCommerce, BigCommerce, Magento, etc.)
• Payment processors and analytics services

Your use of third-party services is subject to their respective terms and policies.

11. Disclaimers

11.1 No Guarantee of Results

While we strive to provide accurate analysis and helpful recommendations, we do not guarantee:

• That AI agents will recommend your products
• Any specific improvement in AI visibility or sales
• The accuracy or completeness of AI readiness scores
• Compatibility with all e-commerce platforms or AI systems

11.2 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.3 AI Technology

AI technology and AI shopping agents are rapidly evolving. Recommendations and best practices may change as the technology landscape shifts. We make reasonable efforts to keep our Service current but cannot guarantee it reflects the latest developments at all times.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANTERN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OR INABILITY TO USE THE SERVICE
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE
• ANY BUGS, VIRUSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE
• ANY ERRORS OR OMISSIONS IN ANY CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LANTERN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify and hold harmless Lantern and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the Service

14. Termination

14.1 By You

You may stop using the Service at any time. If you have an account, you may request account deletion by contacting support@lantern.is. Any outstanding fees remain due upon termination.

14.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, fraudulent activity, or extended periods of inactivity.

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 8, 11, 12, 13, and 15 survive termination.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware, unless the parties agree otherwise.

15.3 Entire Agreement

These Terms constitute the entire agreement between you and Lantern regarding the Service and supersede all prior agreements and understandings.

15.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.5 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.6 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

16. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email (if you have an account) or by posting a notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
